ITEM 2.02.  RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On May 15, 2014, Liberator Medical Holdings, Inc. (the “Company”) issued a press release regarding financial results for the quarter ended March 31, 2014.  A copy of this press release, as revised on May 16, 2014, is being furnished as Exhibit 99.1 to this Current Report on Form 8-K.  The revision corrected an error in the first paragraph of the original release, which incorrectly stated that the financial results announced were for the Company’s first fiscal quarter ended December 31, 2013, rather than its second fiscal quarter ended March 31, 2014.
