Item 8.01. Other Events.
On May 14, 2014, ePlus inc. (the “Company”) announced via press release that the underwriters had exercised the over-allotment option in the public secondary offering by certain of its existing stockholders. Pursuant to such exercise, the underwriters acquired an additional 236,087 shares from the selling stockholders. The Company did not sell any shares of common stock or receive any proceeds from the sale of common stock.
A copy of the press release issued by the Company is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
