Item 3.02 Unregistered Sales of Equity Securities
On May 9, 2014, we closed a private offering of common stock sold at a price of $1.00 per share. A total of 1,110,000 shares of common stock were sold to a total of seventeen (17) purchasers. The shares were sold for cash proceeds of $966,000 and a reduction of certain debt in the amount of $144,000. The shares were offered exclusively to accredited investors and the offering and sale of the shares was exempt from registration under Rule 506 of Regulation D.
