Item 8.01. Other Events
On May 16, 2014, CareTrust REIT, Inc. (“CareTrust”) and The Ensign Group, Inc. issued a press release announcing the pricing of a private offering of $260 million aggregate principal amount of senior notes issued by wholly owned subsidiaries of CareTrust. The press release is attached as Exhibit 99.1 and is incorporated herein by this reference.
