ITEM 7.01 REGULATION FD DISCLOSURE
On May 14, 2014, Ashford Hospitality Trust, Inc. (the “Company”) issued a press release announcing the Company’s underwriters have exercised in part their option to purchase additional shares of common stock in connection with its previously announced offering of common stock. The underwriters exercised their option to purchase an additional 850,000 shares of common stock from the Company. In total, the Company sold 8,350,000 shares of common stock.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
