Item 8.01. Other Events.

On May 12, 2014, Tampa Electric Company (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with BNY Mellon Capital Markets, LLC, Mitsubishi UFJ Securities (USA), Inc., RBC Capital Markets, LLC, SunTrust Robinson Humphrey, Inc. and Wells Fargo Securities, LLC, as representatives of the several underwriters listed therein (collectively, the “Underwriters”), pursuant to which the Company agreed to sell and the Underwriters agreed to purchase, upon the terms and subject to the conditions set forth therein, $300 million aggregate principal amount of 4.35% Notes due 2044 (the “Notes”). The Notes will be issued under an eleventh supplemental indenture (the “Indenture”) with The Bank of New York Mellon, as trustee. The offering of the Notes is expected to close on May 15, 2014. The Company plans to use the net proceeds from this offering to repay short-term debt and for general corporate purposes.

In order to furnish certain exhibits for incorporation by reference into the Registration Statement on Form S-3 of TECO Energy, Inc. and the Company, previously filed with Securities and Exchange Commission (File No. 333-179719-02), the Company is filing the Underwriting Agreement as Exhibit 1.6 to such Registration Statement and the opinion of Edwards Wildman Palmer LLP, regarding the validity of the Notes to be sold by the Company pursuant to such Underwriting Agreement, as Exhibit 5.4 to such Registration Statement.
