Item 1.02. Termination of a Material Definitive Agreement.
 
On May 12, 2014, TAL Advantage IV LLC, an indirect wholly owned subsidiary of TAL International Group, Inc., gave written notice that it will exercise its option to prepay all of the outstanding principal balance of the TAL Advantage IV LLC Series 2012-1 Notes on May 20, 2014.
