On May 8, 2014, Allison Transmission Holdings, Inc. (the “Company”) held its annual meeting of stockholders. At the meeting, stockholders took the following actions:
| • | elected three (3) directors for three-year terms ending at the 2017 annual meeting of stockholders (Proposal 1); and |
| • | ratified the appointment of PricewaterhouseCoopers LLP (“PwC”) as the Company’s independent registered public accounting firm for 2014 (Proposal 2). |
