(b) On May 7, 2014, John B. Brownson, Principal Accounting Officer and Senior Vice President of Accounting and Finance for Cinedigm Corp. (the “Company”), gave notice that he will resign from his position, effective on the earlier of the date that the Company files its Annual Report on Form 10-K for the year ended March 31, 2014 or June 20, 2014, in order to pursue other commitments. Mr. Brownson indicated that he did not have any disagreement with the Company on any matter relating to its operation, policies or practices.
