Item 8.01 Other Events.
On May 8, 2014, Paulson Capital (Delaware) Corp. (the “Registrant”) announced that it has entered into an agreement and plan of merger with Variation Biotechnologies (US), Inc. A copy of the press release announcing the execution of this agreement and the related transactions is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
