Item 2.02 Results of Operations and Financial Condition.
On May 7, 2014, Splunk Inc. (the “Company”) issued a press release that includes information relating to its financial results for the fiscal first quarter ended April 30, 2014. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated by reference.

Retirement of Thomas E. Schodorf
On May 5, 2014, Thomas E. Schodorf, the Company’s Senior Vice President, Field Operations, announced his retirement effective January 31, 2015.
Appointment of New Executive Officer
On May 6, 2014, the Board of Directors of the Company appointed Douglas Merritt as Senior Vice President, Field Operations, effective as of May 7, 2014.
A copy of the press release announcing Mr. Schodorf’s retirement and Mr. Merritt’s appointment is filed as Exhibit 99.1 to this Current Report on Form 8-K.
