ITEM 8.01 OTHER EVENTS.
On May 6, 2014, Simon Property Group, Inc. (“SPG”) issued a press release announcing that its board of directors has set a record date of 5 p.m., Eastern Time, on May 16, 2014 (the “Record Date”) for the previously announced spinoff of Washington Prime Group Inc. (“WPG”), a wholly owned subsidiary of SPG. SPG will distribute one common share of WPG for every two shares of SPG common stock held by SPG stockholders of record as of the Record Date. The distribution of WPG common shares is expected to occur on or about May 28, 2014.
The press release announcing certain details of the distribution of WPG common shares is furnished as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
