On May 7, 2014, The Laclede Group, Inc. (“Laclede”) received confirmation of the early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvement Act of 1976, as amended (“HSR”) in connection with Laclede’s acquisition of all of the outstanding shares of Alabama Gas Corporation (“Alagasco”) from Energen Corporation. This termination satisfies one of the closing conditions for the Stock Purchase Agreement, dated April 5, 2014 entered into by Laclede to acquire all of the outstanding shares of Alagasco.
