Item 1.03.  Bankruptcy or Receivership.

As previously reported, on February 10, 2014, Cereplast, Inc. (the “Company”), filed a voluntary petition for relief under Chapter 11 of Title 11 of the United States Bankruptcy Code in the United States Bankruptcy Court for the Southern District of Indiana (the “Bankruptcy Court”), captioned “In re: Cereplast, Inc.,” Case No. 14-90200-BHL-11 (the “Chapter 11 Case”).  On February 14, 2014, the Company filed a motion in the Bankruptcy Court seeking to convert the Company’s Chapter 11 Case to a Chapter 7 bankruptcy case.  On March 27, 2014, the court granted the Company’s motion and on that date the Company’s Chapter 11 Case was converted to a Chapter 7 case.
