Item 8.01 Other Events.
On May 2, 2014, ITC Holdings Corp. announced that it had commenced a cash tender offer (the “Offer”) and consent solicitation (the “Consent Solicitation”) for any and all of its outstanding $255,000,000 aggregate principal amount of 5.875% Senior Notes due 2016 and any and all of its outstanding $255,000,000 aggregate principal amount of 6.375% Senior Notes due 2036. A copy of the press release, dated May 2, 2014, announcing the commencement of the Offer and the Consent Solicitation is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
