Item 8.01.
Other Events.
Cover-All Technologies Inc. (the “Company”) announced that it has changed the composition of the members of its Compensation Committee of the Board of Directors (the “Board”). Effective May 1, 2014, the members of its Compensation Committee are Stephen M. Mulready and Russell Cleveland.
Additionally, the Company announced that it has established, effective May 1, 2014, an Acquisitions Committee of the Board, which Committee will be responsible for identifying, evaluating and acquiring suitable targets to help the Company accelerate the execution of its strategic plans. The Acquisitions Committee consists of Manish D. Shah, Earl Gallegos and Steve Isaac.
