Item 2.02 Results of Operations and Financial Condition.
On April 30, 2014, USA Mobility, Inc. (the “Company”) issued a press release announcing financial results for the first quarter ended March 31, 2014. A copy of the press release is furnished as Exhibit 99.1 to this report.

Item 8.01 Other Events.
On April 30, 2014, the Company’s Board of Directors declared a regular quarterly dividend of $0.125 per share of the Company's common stock. The dividend will be paid on June 25, 2014 to stockholders of record on May 22, 2014.
