Item 7.01 Regulation FD Disclosure

On April 29, 2014, GFI Group Inc. (the “Company”) issued a press release announcing the financial results for its first quarter ended March 31, 2014.  The press release included a statement that “GFI’s preliminary April total revenues are tracking down approximately 8% year over year.”  During the Company’s scheduled earnings conference call held on April 30, 2014, in response to an inquiry from an analyst regarding the aforementioned statement, management incorrectly stated that this decrease related only to brokerage revenues.  The Company wishes to clarify that, as stated in the press release, preliminary April total revenues (derived from all of its businesses, including clearing, brokerage, Trayport and Fenics revenues in the aggregate) are tracking down approximately 8% year over year.

The information contained in Item 7.01 of this Current Report is being furnished and shall not be deemed “filed” for the purposes of Section 18 of the Securities and Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that Section.  The information contained in Item 7.01 of this Current Report shall not be incorporated by reference into any registration statement or other document pursuant to the Securities Act of 1933, except as may otherwise be expressly stated in such filing.
