Item 8.01. Other Events.

Consent

On April 25, 2014, Time Warner Cable Inc. (“TWC”) entered into a consent (the “Consent”) with Comcast Corporation (“Comcast”) in respect of the Agreement and Plan of Merger dated as of February 12, 2014, by and among TWC, Comcast and Tango Acquisition Sub, Inc. (the “Merger Agreement”). Pursuant to the terms and conditions of the Consent, TWC consented to the entry by Comcast into a binding definitive agreement dated as of April 25, 2014 with Charter Communications, Inc. (“Charter”), which contemplates three transactions after the closing under the Merger Agreement: (1) a contribution and spin-off transaction, (2) an asset exchange and (3) a sale of assets. The foregoing description of the Consent does not purport to be complete, and is qualified in its entirety by reference to the full text of the Consent, which is filed herewith as Exhibit 99.1 and is incorporated herein by reference.

Charter Withdrawal

On April 25, 2014, Charter irrevocably withdrew its notice of intent to nominate individuals for election to the board of directors of TWC and submit other business proposals, in each case at the 2014 annual meeting of stockholders of TWC, which was delivered by Charter to TWC on February 11, 2014.
