On April 25, 2014, Thomas S. Murphy, Jr. and Adam J. Klein informed FBR & Co. (the “Company”) of their decision to retire from service on the Board of Directors of the Company (the "Board") following the completion of their current term. Consequently, Messrs. Murphy and Klein will not stand for re-election to the Board at the 2014 Annual Meeting of Shareholders.
