Item 8.01.                                          Other Events.

On April 23, 2014, the Company announced that the Board of Directors of the Company declared a cash dividend on the Company’s common stock of $0.06 per share for the quarter ended March 31, 2014.  The dividend will be payable to stockholders of record as of May 16, 2014 and is expected to be paid on May 23, 2014.

A copy of the press release dated April 23, 2014, giving details associated with the dividend, is attached as Exhibit 99.1 to this report.
