Item 2.02. Results of Operations and Financial Condition.
On April 21, 2014 BancorpSouth, Inc. (the “Company”) issued a press release announcing its financial results for the first quarter ended March 31, 2014. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference in its entirety.

The Company will conduct a conference call at 10:00 a.m. (Central Time) on April 22, 2014 to discuss its financial results for the first quarter ended March 31, 2014.
