Item 7.01. Regulation FD Disclosure.
On April 21, 2014, Rhino Resource Partners LP ("Rhino" or the
"Partnership") issued a press release announcing a cash
distribution of $0.445 per common unit for the quarter ended March
31, 2014, or $1.78 per unit on an annualized basis. This
distribution will be paid on May 15, 2014 to all common unitholders
of record as of the close of business on May 1, 2014. The information in this Form 8-K, including the exhibit,
shall not be deemed "filed" for purposes of Section 18 of the
Securities Exchange Act of 1934 (the "Exchange Act") or otherwise
subject to the liabilities of that section, unless Rhino
specifically states in a future filing that the information is to
be considered "filed" under the Exchange Act or incorporates it by
reference into a filing under the Securities Act of 1933 or the
Exchange Act.
