Item 8.01 Other Events
On April 9, 2014, Spirit Realty Capital, Inc. (the Company) issued a Notice filed pursuant to Rule 135c under the Securities Act of 1933, as amended, with respect to an exchange offer for certain Master Trust Notes between eligible noteholders and affiliates of the Company. A copy of the notice is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
