ITEM 1.01  ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On April 8th, 2014, Mr. Roger Mortimer, the President and CEO and Director of Amfil Technologies Inc.,   entered into a letter agreement to enter into a Joint Venture Agreement to acquire a 50% shared ownership with Antibacterial Cleaning Treatment Services Inc. (A.C.T.S. Inc.) of the mPact -GROzone Antimicrobial Systems and the exclusive right of representation to perform with A.C.T.S. Inc. as a Systems and Service Provider to any Medical Marijuana Industry and legal marijuana grow/process establishments or organizations in North America and globally that is amenable to the use of the Systems and Service of mPact -GROzone Antimicrobial Systems using A.C.T.S. Inc.’s trade- marked and proprietary products and systems are more particularly described in the attached exhibit.
