This Current Report on Form 8-K is filed by Interactive Data Corporation, a Delaware corporation (the “Company”), in connection with the matters described herein.

 

Item 8.01 Other Events

The Company announced today that it is seeking to raise approximately $2.25 billion of long-term indebtedness to refinance its existing term loans and redeem its existing 10.25% senior notes due 2018 and fund a distribution to its parent entities which in turn intend to pay an approximately $273 million dividend to their equity holders. The new indebtedness is expected to be incurred under a new credit facility and notes issued in the capital markets. There can be no assurance that the Company will be successful in raising this new indebtedness or as to the amount, terms or timing of such financing or the timing of the refinancing and redemption of the Company’s existing term loans and 10.25% senior notes due 2018.
