Appointment of Chief Operating Officer

Effective April 1, 2014, the Board of Directors of Envestnet, Inc. (the “Company”) named Joshua David Mayer as the Company’s Chief Operating Officer. Mr. Mayer, age 40, has served as the Company’s Executive Vice President and Director of Operations since January 2011.  Mr. Mayer is responsible for all activities related to the operations of the Company’s technology platform as well as for the Company’s Human Resources, Facilities Management, and the Project Management, Implementation and Conversion teams.  From 2004 to January 2011, Mr. Mayer served as the Company’s Senior Vice President, Head of Operations.  From 2000 to 2004, Mr. Mayer served as the Director of Operations for Oberon Financial Technology, which was acquired by the Company in 2004.  Mr. Mayer holds a Bachelor of Arts and Sciences from Georgetown University.

There were no changes to Mr. Mayer’s compensation and no new grants or awards associated with this appointment.  Mr. Mayer will continue to be eligible to participate in all benefit plans, health insurance, disability, retirement and incentive compensation plans generally available to the Company’s executives.

Mr. Mayer does not have any family relationship that is required to be disclosed under Item 401(d) of Regulation S-K and there are no transactions in which he has an interest requiring disclosure under Item 404(a) of Regulation S-K.
