Item 8.01 Other Events.

CNL Lifestyle Properties, Inc. (the “Company”) recently became aware that the OTC Grey Market issued the Company a ticker symbol (“CLLY”) and that trading has occurred in the Company’s shares under this ticker symbol. The Company did not initiate this action and its shares of common stock are not listed on any national securities exchange such as the New York Stock Exchange.

We believe this ticker symbol was issued as a result of a broker-dealer filing a form with the Financial Industry Regulatory Authority (“FINRA”) requesting the ticker symbol. We believe this allowed that broker-dealer to comply with FINRA reporting requirements concerning a secondary market trade of the Company’s shares that the broker-dealer was effecting or planning to effect.

Please note, neither FINRA nor any broker-dealer needs our permission to take the actions to obtain a ticker symbol or to trade our shares. To reiterate, please note that the Company’s shares of common stock have not been listed on any national securities exchange at this time.

As previously disclosed, the Company’s board of directors unanimously approved $6.85 as the estimated NAV of the Company’s common stock as of December 31, 2013. In determining the estimated net asset value (“NAV”) per share, the board of directors reviewed a variety of sources and analyses and engaged CBRE Capital Advisors, Inc. (“CBRE Cap”), a third-party independent valuation firm, to provide property level and aggregate valuation analyses of the company and its investments and to assist in determining the estimated NAV. The valuation process used by the company was based on methodology in the IPA Practice Guideline 2013-01, Valuations of Publicly Registered Non-Listed REITs, which was adopted by the IPA effective May 1, 2013. With respect to the estimated NAV of the Company’s common stock, we are unable to give any assurance that: (i) a stockholder would be able to resell his or her shares at this estimated value; (ii) a stockholder would ultimately realize distributions per share equal to our estimated NAV upon liquidation of our assets and settlement of our liabilities or a sale of the Company; (iii) our shares would trade at a price equal to or greater than the estimated NAV if we listed them on a national securities exchange; or (vi) the methodology used to estimate our NAV would be acceptable to FINRA or under the Employment Retirement Income Security Act of 1974 (ERISA) for compliance with its reporting requirements.
