Item 8.01       Other Events.*

 

On April 3, 2014, Guaranty Bancorp (the “Company”) announced that its Board of Directors had authorized the Company to repurchase up to 1,000,000 shares of its voting common stock, par value $0.001 per share (“Voting Common Stock”). Repurchases under the program may commence immediately and continue for a period not to exceed 12 months from the date of this filing.

 

Repurchases under the Company’s program will be made in open market or privately negotiated transactions, subject to market conditions, applicable legal requirements, and other relevant factors. This share repurchase program does not obligate the Company to acquire any particular amount of Voting Common Stock, and the program may be suspended at any time at the Company's discretion. As of April 3, 2014 the Company had 21,696,107 shares of common stock outstanding, consisting of 20,677,107 shares of Voting Common Stock, of which 745,406 were in the form of unvested stock awards, and 1,019,000 shares of the Company’s non-voting common stock.
