Item 1.01. Entry into a Material Definitive Agreement.

On April 2, 2014, Cobra Electronics Corporation (the “Company”) entered into the Seventh Amendment to Credit Agreement (the “Amendment”) among the Company, BMO Harris Bank N.A. (formerly known as Harris N.A.), as administrative agent, and the lenders party thereto. The Amendment provides for a minimum covenant based on a twelve-month trailing Adjusted EBITDA for the first, second and third quarters of 2014 and a fixed charge coverage ratio of 1.10 to 1.00 for the fourth quarter of 2014 and thereafter, in addition to a lower applicable margin. The Amendment also provides the administrative agent with additional inspection rights in specified circumstances. In connection with the Amendment, Fifth Third Bank’s $14 million commitment under the facility was assigned to First Midwest Bank.
