ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS On March 27, 2014, Mr. Edwin Morrow resigned as a Director of the Company. ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS On February 25, 2014, FINRA rejected Liberty Coal Energy Corp's (the "Company") Notice of Appeal for the proposed reverse stock split. After careful deliberation with the Company's counsel, we have determined that a further appeal to the SEC would be too time consuming and costly and, thus, the proposed reversed stock split will not go into effect. The Company will continue to execute its business plan and will continue to evaluate its capital structure.
