Item 8.01 Other Events.
On April 1, 2014, the Board of Directors of VII Peaks Co-Optivist Income BDC II, Inc. announced that the record date for its annual meeting of shareholders will be March 14, 2014. Only shareholders of record as of the close of business on March 14, 2014 will be entitled to vote at the meeting. The annual meeting of shareholders is scheduled for Friday, May 9, 2014, 10:00 A.M., at 100 Pine Street, Suite 500, San Francisco, CA 94111.
