Eagle Bancorp Inc. (the “Company”) hereby files a revised redacted copy of the Company’s Senior Executive Incentive Plan for 2013 performance, reflecting disclosure of certain information and metrics previously disclosed in the Company’s proxy materials for the Annual Meeting of Shareholders to be held on May 15, 2014. The revised redacted version of the plan, which does not disclose certain target goals and compensation levels for which confidential treatment has been requested, is attached as Exhibit 10.1 hereto.
