Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 21, 2014, the registrant received notice of the resignation of Jeffrey E. Eberwein from his position as Director of the registrant, effective immediately. Mr. Eberwein resigned due to other commitments.
In regard to his resignation from the board, Mr. Eberwein commented: “I want to affirm my continued support and belief in a bright future for oti. I’m proud of the successful transformation the company has undertaken over the last year, as led by a very experienced and capable new management team. I believe the company has now been set on the right course with its refocus on its core strength in cashless transaction technology, and the time has come for me to step aside for a new board member to help guide the company to its next level of growth and opportunity.”
