Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

Paul M. Gilbert, a former director of Derma Sciences, Inc. (the “Company”), resigned from the board of directors of the Company, effective as of March 21, 2014 (the “Effective Date”). The resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. In consideration for his prior service to the Company, Mr. Gilbert received acceleration of vesting of 7,500 unvested restricted share units and 7,500 stock options as of the Effective Date. The Company also agreed to permit Mr. Gilbert to exercise his stock options vested as of the Effective Date for a period of 24 months following the Effective Date.
