Item 7.01    Regulation FD Disclosure.

On March 25, 2014, in the matter styled Kuberski v. Lime Energy Co. et al., Case No. 12-cv-7993 (N.D. Ill.), Judge Harry D. Leinenweber entered an order granting the Defendants’ motion to dismiss and dismissing the case with prejudice.  Kuberski was a putative shareholder derivative action alleging that certain of Lime Energy’s officers and directors breached their fiduciary duties to the Company from May 14, 2008 through the present by failing to maintain adequate internal controls and causing the Company to issue false and misleading statements concerning our revenues.  The Plaintiffs have 30 days from the date of the Court’s order to file a notice of appeal.

Further details may be obtained from the Memorandum Opinion and Order, which is available online through the Court’s Public Access to Court Electronic Records system (“PACER”), accessible at http://www.ilnd.uscourts.gov/.
