Item 5.02                   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 19, 2014, David M. Bricker, Senior Vice President and Chief Accounting Officer of PHH Corporation (the “Company”), submitted his resignation to the Company resigning his positions with the Company and its subsidiaries effective as of April 2, 2014, in order to pursue an opportunity outside of the mortgage and fleet management services industries.  Mr. Bricker’s resignation was not due to any disagreement with the Company in respect of any matter relating to the Company’s accounting, operations, policies or practices.
