VantageSouth Bancshares, Inc. (the “Company”) is providing certain financial statements and related information regarding Piedmont Community Bank Holdings, Inc. (“Piedmont”), of which the Company is a majority-owned subsidiary. The audited consolidated financial statements (including notes thereto) of Piedmont as of and for the years ended December 31, 2013 and 2012 are filed as Exhibit 99.1 to this Current Report on Form 8-K (this “Report”) and incorporated herein by reference. Piedmont Management’s Discussion and Analysis of Financial Condition and Results of Operations for the corresponding periods is filed as Exhibit 99.2 to this Report and incorporated herein by reference.
