On March 21, 2014, The Phoenix Companies, Inc. (“Phoenix”), the parent company of PHL Variable Insurance Company (the “Company”), issued a news release announcing entry into a settlement agreement with the U.S. Securities and Exchange Commission regarding the delayed filings of both Phoenix and the Company. The news release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
