On March 21, 2014, Party City Holdings Inc.’s indirect parent, Party City Holdco Inc. (“Parent”), filed an amendment to its registration statement on Form S-1 with the Securities and Exchange Commission relating to its proposed initial public offering of its common stock, which contains, among other things, Parent’s audited financial statements as of December 31, 2013.
This Current Report on Form 8-K does not constitute an offer to sell or the solicitation of an offer to buy the common stock discussed herein, and there shall not be any offer, solicitation or sale of the common stock in any state in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state.
