Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective March 18, 2014, Michael Pearce resigned from the Company’s Board of Directors after a period of valuable transition. His resignation did not relate to any disagreement with the Board of Directors (the “Board”) or management of the Company or disagreement with respect to matters related to the operations, policies or practices of the Company. Mr. Pearce was not an independent director under Nasdaq Marketplace rules. To further assist with the transition, Mr. Pearce will continue to provide consulting services to the Company.
