Item 2.02              Results of Operations and Financial Condition.

On March 17, 2014, Nature’s Sunshine Products, Inc. (the “Company”) issued a press release announcing its financial results for the three months and full year ended December 31, 2013. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

Quarterly Cash Dividend

On March 17, 2014, the Company issued a press release announcing that its Board of Directors had approved the Company’s payment of a quarterly cash dividend of $0.10 per share cash dividend, payable on April 7, 2014, to shareholders of record on March 28, 2014.
