Item 8.01 Other Events.
On March 17, 2014, the Company issued a press release announcing its entry into an agreement with HG Vora Capital resolving a potential proxy contest relating to this year's shareholder meeting. A copy of such press release is filed as Exhibit 99.1 to this report. A copy of the agreement is furnished as Exhibit 99.2 to this report.
On March 18, 2014, the Company announced that its Board of Trustees has set the date for this year's annual meeting of shareholders for May 22, 2014 at 9:00 a.m. EDT. A copy of such press release is filed as Exhibit 99.3 to this report.
