Item 7.01.                                        Regulation FD Disclosure.

On March 14, 2014, International Game Technology (the “Company”) announced that its Board of Directors declared a cash dividend of $0.11 per share on its common stock.  The dividend is payable on April 4, 2014 to stockholders of record on March 24, 2014.  This dividend replaces the dividend previously announced by the Company on March 12, 2014.
