On March 13, 2014, ModusLink Global Solutions, Inc. (the “Company”) issued a press release announcing the pricing of its offering of $90.0 million in aggregate principal amount of convertible senior notes due 2019 (the “notes”) to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended. The Company also announced that it granted the initial purchaser of the notes a 30-day option to purchase up to an additional $10.0 million aggregate principal amount of the notes. The full text of the press release issued in connection with the announcement is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
