On March 10, 2014, DDR Corp. (“DDR”) issued a press release describing certain transactions involving its interest in a joint venture, which joint venture owns an equity interest in Sonae Sierra Brasil, S.A. (IBOVESPA: SSBR3). A copy of DDR’s press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein. The information in this Current Report on Form 8-K shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, except as shall be expressly set forth by specific reference.
