Item 7.01.  Regulation FD Disclosure.

 

In connection with the Transaction (as defined in Item 8.01 of this Form 8-K), on March 10, 2014, Chiquita Brands International, Inc., a New Jersey corporation (“Chiquita”), and Fyffes plc, a public limited company organized under the laws of Ireland (“Fyffes”), issued an announcement pursuant to Rule 2.5 of the Irish Takeover Rules (the “Rule 2.5 Announcement”) announcing that Chiquita and Fyffes have reached agreement on the terms of a combination transaction as described below in Item 8.01 of this Form 8-K. The full text of the Rule 2.5 Announcement is attached hereto as Exhibit 99.1 and incorporated by reference herein.

 

In addition, Chiquita has prepared an investor presentation relating to the Transaction which was made available beginning on March 10, 2014. A copy of such presentation is attached hereto as Exhibit 99.2 and is incorporated herein by reference.

 

As provided in General Instruction B.2 of Form 8-K, the information in this Item 7.01 and Exhibits 99.1 and 99.2 incorporated herein shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, nor shall they be deemed to be incorporated by reference in any filing under the Securities Act of 1933, as amended, except as shall be expressly set forth by specific reference in such a filing.

 

Item 8.01.  Other Events.

 

On March 10, 2014, Chiquita and Fyffes and certain other parties entered into a transaction agreement pursuant to which and subject to the terms and conditions thereof, among other things, Twombly One Limited, a private limited liability company organized under the laws of Ireland (which will be renamed ChiquitaFyffes plc prior to the consummation of the Transaction) (“ChiquitaFyffes”), will acquire all of the outstanding shares of Fyffes from Fyffes shareholders for newly issued ordinary shares of ChiquitaFyffes (the “Combination”), pursuant to a scheme of arrangement under Section 201 of the Irish Companies Act of 1963 (the “Scheme”). Immediately following and conditioned upon the consummation of the Scheme, (a) Fyffes will become a wholly owned indirect subsidiary of ChiquitaFyffes and (b) Chicago Merger Sub, Inc., a New Jersey corporation and wholly owned indirect subsidiary of ChiquitaFyffes, will merge with and into Chiquita (the “Merger” and, together with the Combination pursuant to the Scheme, the “Transaction”), with Chiquita surviving the Merger. As a result of the Transaction, both Chiquita and Fyffes will become wholly owned subsidiaries of ChiquitaFyffes. Prior to the closing of the Transaction, ChiquitaFyffes will re-register as a public limited company, the ordinary shares of which are expected to be listed on the New York Stock Exchange.
