On March 4, 2014, Summit Financial Services Group, Inc. (Summit) issued the press release attached hereto as Exhibit 99.1, regarding its financial results for the year ended December 31, 2013.
The information furnished under this Item 2.02 of this Current Report on Form 8-K, including Exhibit 99.1, shall not be deemed to be filed for the purposes of Section 18 of the Securities Exchange Act of 1934 (the Exchange Act), as amended, or otherwise subject to the liabilities of that Section. Summit previously announced and filed a Form 8-K on November 18, 2013, that it had entered into an agreement and plan of merger (the Merger Agreement) with RCS Capital Corporation (RCS) and Dolphin Acquisition, LLC (Merger Sub), a newly formed wholly owned subsidiary of RCS. ALTHOUGH NO ASSURANCE CAN BE GIVEN, THE MERGER IS EXPECTED TO CLOSE DURING THE SECOND QUARTER OF 2014.
