Item 1.01 Entry into a Material Definitive Agreement.
On February 26, 2014, EACO Corporation (the “Company”) entered into an agreement with Ratner Property Management (“Buyer”) to sell the Company’s real property located in Sylmar, California to Buyer for a purchase price of $9,525,000. The obligations of Buyer are subject to, among other things, a financing contingency and certain inspection rights. The agreement also contains indemnification obligations of the Company relating to periods prior to the closing of the transaction and indemnification obligations of Buyer relating to periods on or after such closing.
