Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
The governing board of directors of Centaur Guernsey L.P. Inc. (“Centaur”) are the directors of Chiron Holdings GP, Inc. (the “General Partner”), the general partner of Chiron Guernsey Holdings L.P. Inc., which is the parent of Centaur.
On February 26, 2014, Jim Fasano notified the General Partner that he was resigning as a member of the General Partner’s board of directors, effective immediately. Mr. Fasano joined the General Partner’s board in 2011 and at the time of his resignation served on the Compliance Committee.

The Company has provided notice of its fourth quarter and full year 2013 earnings release and conference call. Such information is contained in Exhibit 99.1 to this report and is incorporated herein by reference.
